The Counsel, Commercial Trading and Transactions  will report to the Managing Counsel, Commercial & Marketing and work with colleagues in a large law department in a publicly traded, Fortune 50 international energy company. This a Junior role on the team and will be based in our Houston, TX office.

Responsibilities May Include:
•    Advising on Lubricants transactions
•    Advising on corporate guarantees in support of Commercial trading
•    Advising on a wide range of Commercial trading, storage and transportation agreements
•    Opportunities to assist on M&A transactions
•    Instructing and managing outside counsel and specialists to get appropriate, cost-effective advice

 Required Qualifications
•    Legally authorized to work in the job posting country
•    J.D. degree from a law school accredited by the American Bar Association
•    A member in good standing of any U.S. bar
•    5 or more years of commercial law experience in a top law firm or as in-house counsel at a company of similar size and scale   
 
Preferred Qualifications
•    Experience advising on common contractual terms in the trading of energy commodities
•    Knowledge and experience advising on storage and transportation agreements
•    Experience advising on trade finance documents, particularly guarantees and letters of credit
•    Superior negotiation, advocacy and presentation skills
•    Mature judgment and discretion
•    Ability to manage and prioritize assignments which may be broad in scope and complexity, and which involve collaborative work with employees in different departments or with varying levels of seniority
•    Self-initiation on complex assignments
•    Excellent written and oral communication skills including the ability to effectively communicate with clients, legal support staff and external counsel
•    Ability to work well under pressure and meet deadlines and function independently without significant supervision

Local law firm with a variety of service offerings, is adding an Associate attorney needed to work in the probate, guardianship and trust litigation with experience in related administration of estates, trusts and guardianships.

Candidates should have 5 plus years of experience in litigation and knowledge of probate and fiduciary litigation is a plus.

Candidates with a background in family law may also be a plus as we discussed.

Candidates should be able to handle hearings on their own, take and defend depositions as well as draft and respond to discovery. Having tried cases is a plus.  Excellent research and writing skills are required.

Responsibilities May Include
•    Providing general in-house support for legal matters to the Company’s Real Estate Services business unit, including negotiating complex transactions with owners, lessors/lessees, and other third parties
•    Ensuring risks are adequately identified and addressed in agreements and compliance by The Company with the laws and regulations of local, state and federal governments
•    Handling all real estate related transactional matters, including, but not limited to, transfers of titles and deeds, easements, leases, right-of-way agreements, licenses, purchase and sales, and other real estate transaction terms and conditions
•    Conducting due diligence and providing assistance with corporate transactions regarding real estate, entity, and asset corporate transactions 
•    Advising clients regarding any and all real estate legal matters including, but not limited to, title searches, examination of property titles, zoning, land use issues, closings, and capital projects. 
•    Cross-functionally engaging within Legal Department and business units to assess risks and benefits of real estate actions
•    Managing outside counsel retained in connection with the provision of such advice, services, and documentation
Required Qualifications

A global law firm with a strong Houston presence in the energy sector is searching for an Office Manager due to retirement. The current Office Manager has been with the firm since they first opened in Houston and has 8 direct reports and will work closely with other managers in the office. Law firm or professional services experience required. Will consider candidates out of the finance or HR department at firms as well. In partnership with the Director of Administration (DOA), the Office Managing Partners (OMPs), and firmwide, regional and local management, the office manager has responsibility to supervise support staff covering office operations (recruitment, monitoring workflow, performance appraisals, staff development and conflict resolution), life/safety procedures, office activities and social events, and has responsibility for overseeing facilities functions.

Other duties and responsibilities include:

  • Types, formats, edits and finalizes documents, including correspondence, memoranda, agreements, etc., in accordance with the Firm's document formatting standards, using a PC with a word processing package and other Firm software.
  • Organizes clerical functions and work flow.
  • Enters, proofreads for accuracy and posts lawyers' time diaries on a daily basis (as received from assignments).
  • Coordinates travel arrangements, including air, hotel and car for lawyers and clients. Processes lawyers' travel expenses.
  • Proofreads all documents, correspondence, etc., to ensure accuracy of copy, grammar, punctuation and syntax. Checks to ensure accuracy of jobs sent to duplicating service.
