Tax Planning PARALEGAL

General Job Description:
The Tax Planning Paralegal will assist the Tax Planning and Business Transactions group, reporting to the Shareholders and senior associates within the group. The primary focus of this role will be transactional work, including projects such as entity formation documents, filings with the Texas Secretary of State and IRS, consent actions and the preparation of closing/minute books and other basic company documentation. This position will report to the direct supervising Shareholder and located in Houston, TX. This position requires three days in the office with one day remote.
Duties and Responsibilities
- Draft corporate documents including consent actions, formation and organizational documents, assumed name filings, foreign registrations, etc.
- Draft various real estate documents, including deeds, deeds of trust, notes, releases, leases & affidavits
- Complete and file various IRS forms and obtain Employer Identification Numbers
- Create detailed organizational charts and entity information indexes
- Draft and file various Secretary of State forms
- Prepare physical and digital closing binders
- Assemble and maintain minute books
Qualifications
- Bachelor's degree in Paralegal Studies or related field preferred
- Paralegal certificate preferred
- Minimum of five (5) years of experience in a law firm environment working as a transactional paralegal on transactional or tax matters. Experience in estate planning will be considered.
- Highly proficient in Outlook, Word, Excel, and Adobe
