Transactional & Tax Associate Attorney – Houston, TX
A well‑established Houston law firm is seeking an experienced Transactional & Tax Associate Attorney to support its thriving business law and health law practice. This role is ideal for an attorney with 8+ years of experience in contract and tax law, corporate transactions, and complex deal structuring. The position offers the opportunity to take on significant responsibility within a fast‑paced, collaborative environment.
Key Responsibilities
•     Manage transactional matters from inception through closing, including drafting and negotiating primary and ancillary M&A documents
•     Draft, review, and negotiate a wide range of contracts and compliance programs
•     Prepare and negotiate Employment and Independent Contractor Agreements, Licensing Agreements, Joint Venture Agreements, Management Services Agreements, Medical Director Agreements, and related transactions
•     Prepare documentation for entity formation and equity‑sharing arrangements
•     Advise clients on state and federal regulatory matters and conduct due diligence
•     Draft legal opinions and provide strategic consultations
•     Communicate directly with clients and maintain strong professional relationships
Qualifications
•     Minimum 8 years of experience in corporate, transactional, and contract law
•     Strong background in mergers and acquisitions, shareholder buyouts, employment agreements, and non‑competes
•     Experience with entity formation, corporate governance documents, and commercial lease negotiations
•     Excellent analytical, drafting, negotiation, and communication skills
•     High attention to detail, strong organizational skills, and the ability to manage multiple priorities
•     Demonstrated ability to work collaboratively and interact directly with clients
•     Strong academic record
•     Licensed to practice in the State of Texas and admitted to the U.S. District Court for the Southern District of Texas
